GENERAL COUNSEL Office of the President [Posted September 2, 2009]
GENERAL STATEMENT: Reporting to the President of Cambridge College and a member of the Leadership Team, the person selected for this position will lead institutional legal strategic and tactical initiatives and provide Senior Management with effective advice on College strategies and their implementation, manage the legal function, and be directly involved in complex academic and non-academic business transactions in the initiation and negotiation of critical contracts. The General Counsel will also serve as the Assistant Secretary of the Board of Trustees.
DUTIES AND RESPONSIBILITIES: -Participates in the definition and development of College institutional policies, procedures, and programs and provides ongoing counsel and guidance on legal matters and on legal implications of all matters.
-Serves as the legal advisor on all major business transactions, including acquisitions and new business ventures; advises on the legal aspects of College financing, including assessing and advising on current and future business structures and legal entities.
-Assists Senior Management with risk management strategies, insurance procurement and claims, as appropriate.
-Judges the merits of major legal cases filed on behalf of or against the College, working with the appropriate Senior Management to define a strategy for defense and manage settlements of disputes when appropriate.
-Assumes ultimate responsibility for ensuring that the College conducts its business in compliance with applicable laws and regulations. Works with Internal Audit and Senior Management on institutional compliance functions.
-Serves as a consultant and legal advisor to the College around specific critical employment and benefits issues and collaborates on significant employee relations and labor relations matters (ERISA).
-Structures and manages the College internal legal function.
-Advises the College on the selection of any outside counsel, should the need arise.
-Serves as the institutional ethics officer.
-May design and deliver appropriate training/education to College community members.
-Related duties and responsibilities as appropriate to this executive leadership role.
QUALIFICATIONS: Law degree from an ABA-accredited law school required; Admission to practice before appropriate state and federal courts as needed may be required; Member of the Massachusetts Bar Association required or eligible for admission and admitted within one year of employment; Member of other state Bar Associations preferred; Minimum of 10 years of progressively responsible legal experience, ideally directly in or related to higher education; Experience with intellectual property law,interstate educational licensing, affiliation agreements, labor and employment law, student rights, computer law, corporate governance, student immigration law, multi-state and federal tax regulations and accreditation strongly preferred; Experienced working with regulatory agencies; Ability to effectively communicate with a variety of contacts, including Executive and Senior Management, and the Board of Trustees; General management experience preferred; Ability to work collaboratively and effectively as a member of intact and cross -functional teams and governance structures; Ability to work effectively in a multicultural environment committed to maintaining and enhancing diversity.
